Refund policy.
SeatLedger subscriptions are billed annually. This policy is the complete and exclusive statement of when and how SeatLedger issues refunds. By subscribing, you agree to it.
1. All sales are final
Subscription fees are non-refundable except as expressly set out in Section 3 below. Subscription pricing reflects access to the Service, not consumption, and the Service's value is delivered immediately upon activation through features such as data import, mark-to-market lookups, statement generation, tax-year exports, and related digital records.
By subscribing you expressly consent to immediate performance of the Service and acknowledge that you lose any statutory right of withdrawal that would otherwise apply to digital services to the maximum extent permitted by law.
The Holder plan is free, so this policy concerns Pro and Owner's Box plans only. Pro and Owner's Box plans do not include a free trial; payment is due at the moment you upgrade. Try the Holder tier first if you want to evaluate the Service before paying.
2. Cancellation
You can cancel your subscription anytime from Account → Subscription. Cancellation takes effect at the end of your current billing period; you keep paid features until then.
Cancelling does not refund the current period, nor any prior period. Failure to use, log into, or extract value from the Service does not entitle you to any refund or credit.
3. The only cases in which SeatLedger will refund
SeatLedger will refund a payment only in the following two cases:
- Confirmed billing error caused by SeatLedger — duplicate charges, charges for a plan you did not purchase, or charges processed after a properly-completed cancellation. We refund the erroneous amount and correct the underlying record.
- Account closure initiated by SeatLedger for reasons other than your breach of the Terms of Service. We refund the unused portion of the current billing period on a pro-rata basis.
That is the complete list. Refunds outside these two cases are at SeatLedger's sole and absolute discretion. Granting a refund in any one instance, including as a goodwill gesture, does not create an obligation, course of dealing, or precedent for any future request.
4. Cases in which SeatLedger will not refund
For clarity, the following are not refundable:
- Cancellations of any kind, including immediately after subscribing.
- Failure to use, access, or derive value from paid features for any reason.
- Buyer's remorse, duplicate accounts, or wrong plan selected by the user.
- Subscriptions where data has been imported (CSV upload, email parsing, manual entry, or otherwise) — the import itself is value-delivering performance of the Service.
- Subscriptions where any export, statement, member statement, or tax-year report has been generated, downloaded, viewed, or shared.
- Claimed downtime, interruption, performance issues, latency, or feature changes — we do not guarantee uptime or any specific feature set, and the Service is provided “as is” (see Terms of Service).
- Renewal charges you did not cancel before the renewal date. We send a renewal reminder; setting your own reminders is your responsibility.
- Account closure, suspension, or feature loss arising from violation of the Terms of Service.
- Plan downgrades, pauses, or transitions to the Holder tier.
- Subscriptions purchased with a promotional discount, coupon, or credit, except where required by applicable consumer-protection law.
- Chargebacks or payment disputes filed without first contacting billing@seatledger.ai — see Section 6.
5. How to request a refund (for the two cases that qualify)
Email billing@seatledger.ai from the address on your SeatLedger account. Include the charge date, the last four digits of the card used (so we can locate it), and a description of which qualifying case applies. We aim to respond within five business days.
Approved refunds are processed through Stripe and typically appear on your card within 5–10 business days, depending on your card issuer. SeatLedger has no control over your bank's posting timeline.
6. Chargebacks
Filing a chargeback or payment dispute with your bank or card network without first contacting us is a material breach of these terms. If you file a chargeback, we may immediately suspend or terminate your account, retain a record of the chargeback for fraud-prevention purposes, and pursue recovery of the disputed amount plus any chargeback or representment fees imposed on us. If we prevail in the dispute, the original charge stands and your account may remain suspended.
7. Sales tax
Where a refund is issued under Section 3 and sales tax was collected on the underlying charge, the tax is refunded along with the principal amount. Stripe handles the calculation; you don't need to do anything beyond making the request.
8. Goodwill is not waiver
If SeatLedger ever issues a refund, credit, or accommodation outside the two cases in Section 3, that act is a one-time courtesy. It does not waive, release, modify, or limit any other right or remedy SeatLedger has under the Terms of Service or applicable law, including the right to enforce this policy in identical form against future requests.
9. EU/UK statutory rights
If you are a consumer resident in the European Union or United Kingdom, you may have a statutory right of withdrawal under the EU Consumer Rights Directive 2011/83/EU or its UK equivalent. As stated in Section 1, by subscribing you expressly consent to immediate performance of the Service and acknowledge that, where the Service has been fully or substantially performed (including by data import or export), that statutory right of withdrawal does not apply. Where the right does apply on the facts, you may exercise it within 14 days of the contract by emailing billing@seatledger.ai with a clear statement of withdrawal.
10. Changes to this policy
We may update this policy at any time by posting an updated version with a revised “Last updated” date. The version in effect at the time of the charge governs that charge. Material changes will be announced by email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
11. Mandatory disputes process
Any dispute arising under or relating to this Refund Policy is governed by the dispute resolution provisions of the Terms of Service, including binding individual arbitration, class-action waiver, and the limitation of liability.
